issue as well, and I sent Michelle the same
paragraph as Susan Grigg copied
below, with a few comments.
My notes about
this paragraph that Susan refers
to, are:

I take the comment "a majority vote
with notice" to mean that the
entire board must be given a notice of the issue
at hand, the proposed remedy,
and give them time so that every member has a
reasonable time to review the
issue, then hold a vote and the simple majority
rules.  Usually, in the case
of notice, it would be a month if by mail, but if
you can get positive
responses from ALL board members that they have received
the notice
electronically, then it could be quicker, I believe.  Otherwise,
the rule
requires a two-thirds vote of the board to amend the adopted minutes
or
unanimous consent (again, ALL board members would have to consent), or a
vote
of the entire membership (certainly don't want to do that, because of
cost,
etc).  

So, you can amend the minutes after they are approved and
adopted,
but it is more difficult (and rightfully so, probably) than making
changes
before the minutes are approved.

checked the latest edition of /Robert's Rules of Order, Newly
Revised/. 
See below:

" If the existence of an error or material omission in
the minutes 
becomes reasonably established after their approval -- even many
years 
later -- the minutes can then be corrected by means of the motion
to/Amend Something Previously Adopted/, which requires a two-thirds 
vote, or
a majority vote with notice, or the vote of a majority of the 
entire
membership, or unanimous consent."
