Thanks Dave, what you say is correct as I remember it. They did decline at
that time. I hope to be able to turn up the actual terms of the previous
without reinventing everything all over. But I also realize that we are down
the road 16 odd years and things change... perhaps the AIS may not even want
to table an offer again. The CIS board was considering re-evaluating their
position. At this point I am just trying to get something more concrete as
to how it "might" work and take it back to them.

Dear Mr. Hollingshead:
      This might be a possibility. It seems that this was discussed when I
was Chairman of Affiliates . Your by-laws would need to conform with those
of AIS and there may be a couple other points that you may not want to do.
At the time, you all thought best to leave it as it was. I'm sure others
